Who can use Moments

You must be at least 13 years old to use Moments. By using the app, you confirm that you are at least 13 and able to enter into these Terms.

Your account

You are responsible for the activity on your account and for keeping your login secure. Provide accurate information when you sign up, and let us know if you believe your account has been compromised.

Your content

Moments is built around the content you create — your memories, photos, notes, and the people and places you add. You keep ownership of your content.

To operate the app, you grant Engoa a limited, non-exclusive license to store, process, and display your content to you and, only as you direct, to the people you share it with. This license exists solely to run Moments for you and ends when you delete the content or your account, except for backups retained for a limited time.

You are responsible for your content. You represent that you have the rights to anything you upload and that it does not violate these Terms or anyone else’s rights.

Acceptable use

Moments is a personal, respectful space. You agree not to create, upload, or share content that is illegal, infringing, hateful, harassing, threatening, sexually exploitative, or otherwise objectionable, and not to harass, abuse, or harm other users.

You also agree not to misuse the service — for example, by attempting to access other users’ data, disrupting or probing our systems, scraping, or using the app to send spam.

Objectionable content and other users

We have no tolerance for objectionable content or abusive behavior. If you see a shared memory or contribution that violates these Terms, you can report it from within the app, and you can block another user to stop interacting with them.

We review reports and may remove content and suspend or terminate accounts that violate these Terms, typically within 24 hours of a report. Content shared with you by others is for your personal use; please respect the privacy of what people share with you.

Third-party services

Moments relies on third-party services such as maps and place search, and links you add may lead to third-party websites. We are not responsible for third-party content or services, and your use of them may be subject to their own terms.

Termination

You can stop using Moments and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the service or its users. Provisions that by their nature should survive termination — such as ownership, disclaimers, indemnification, and limitations of liability — will continue to apply.

Disclaimers

Moments is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not guarantee that the app will always be available or error-free, or that your content will never be lost — please keep your own copies of anything important.

Limitation of liability

To the fullest extent permitted by law, Engoa will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising from your use of Moments. Our total liability for any claim relating to the app will not exceed the greater of the amount you paid us in the past twelve months or twenty U.S. dollars.

Indemnification

To the extent permitted by law, you agree to indemnify and hold Engoa harmless from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of Moments, or your violation of these Terms or the rights of others.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Engoa agree to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, for any dispute arising from these Terms or your use of Moments.

General

These Terms are the entire agreement between you and Engoa regarding Moments and supersede any prior agreements on the subject. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and provide notice in the app. Continuing to use Moments after changes take effect means you accept the updated Terms.
